1. Introduction and Acceptance

NeuBuild is an AI-powered product ideation and development platform operated by NeuOrigins Mediatek Private Limited (“NeuOrigins”, “we”, “us” or “our”).

These Terms of Use (“Terms”) govern your access to and use of NeuBuild, including its AI-powered idea builder, conversational agents, Project Brief generation, document downloads, project submission and approval workflows, and any related services.

By accessing or using NeuBuild, you agree to these Terms. If you do not agree, you must discontinue use of the platform.

If you submit a Project Brief to NeuOrigins for consideration, you acknowledge and agree that the submission is subject to review, assessment and approval at NeuOrigins’ sole discretion, subject to applicable law.

2. Purpose of NeuBuild

NeuBuild enables users to describe product ideas, interact with AI-powered agents, refine concepts, explore potential features, and generate structured Project Briefs.

The platform is intended to assist with early-stage ideation, planning and product development preparation. It does not, by itself, constitute a commitment by NeuOrigins to develop, finance, launch, commercialise, support or otherwise pursue any idea or project.

Features, outputs, workflows and services may change as the platform develops.

3. AI-Generated Content and Project Briefs

NeuBuild uses artificial intelligence and large language models (“LLMs”) to assist in analysing user inputs and generating responses, recommendations, research summaries, product requirements, technical suggestions and Project Briefs.

You acknowledge and agree that:

a. AI-generated content may contain errors, omissions, outdated information, unsupported statements or recommendations that are unsuitable for your circumstances.

b. A generated Project Brief is a preliminary planning document and is not a guarantee of technical feasibility, commercial viability, market demand, profitability, regulatory compliance, security or successful implementation.

c. Market research, estimates, technical recommendations, cost projections, timelines, feature suggestions and other AI-generated outputs must be independently verified before being relied upon.

d. AI outputs may be incomplete, similar to outputs provided to other users, or generated using patterns learned from the models' training data.

e. You are responsible for reviewing, validating and deciding whether to use any AI-generated output.

f. NeuOrigins does not guarantee uninterrupted access to AI features, specific model behaviour, error-free outputs or the continued availability of any particular AI provider.

You must not treat AI-generated information as professional legal, financial, medical, tax, security or other regulated advice.

4. Project Brief Submission and Approval

NeuBuild may allow you to submit a completed Project Brief to NeuOrigins for review.

Submitting a Project Brief does not constitute acceptance of the project, a development agreement, an investment commitment, a partnership, or a promise to deliver any product or service.

NeuOrigins retains the final decision on whether to accept, reject, defer, request changes to, investigate further, or proceed with any submitted idea or project.

In assessing a submission, NeuOrigins may consider factors including, but not limited to:

• Strategic fit with NeuOrigins and its business objectives.
• Technical feasibility and resource availability.
• Commercial potential and market demand.
• Estimated development costs and delivery timelines.
• Intellectual property, legal, regulatory, safety and security considerations.
• Operational priorities, capacity and other business considerations.

NeuOrigins may request further information, arrange discussions, recommend revisions, or decline to proceed without providing a detailed explanation, subject to applicable law.

Approval to proceed may be conditional upon a separate written agreement, statement of work, commercial proposal, payment arrangement, intellectual property agreement or other documentation.

No project is considered formally approved for development until NeuOrigins communicates its approval through an authorised representative and any required separate agreements or conditions have been satisfied.

Project status indicators displayed in NeuBuild are informational. A status such as “Submitted”, “Under Review”, “Approved” or “In Progress” does not override a separate written agreement or create obligations beyond those expressly agreed.

5. Ideas, Confidentiality and Intellectual Property

5.1 Your content

As between you and NeuOrigins, you retain ownership of the original ideas, materials, documents and other content that you lawfully own and submit through NeuBuild, subject to third-party rights and the provisions below.

You are responsible for ensuring that you have the rights and permissions necessary to submit any content you provide.

5.2 Permission to process your content

You grant NeuOrigins a limited, non-exclusive permission to host, reproduce, process, transmit and use your submitted content as reasonably necessary to:

• Operate NeuBuild and provide its features.
• Conduct AI-assisted conversations and generate Project Briefs.
• Save, retrieve and display your content.
• Review submitted ideas and assess their suitability for development.
• Provide support, maintain security, prevent abuse and comply with legal obligations.

Where external AI providers are used, this permission includes processing and transmitting relevant content to those providers as necessary to provide the requested functionality, subject to applicable privacy obligations and the relevant service arrangements.

This permission does not, by itself, transfer ownership of your underlying idea or materials to NeuOrigins.

5.3 Ownership of AI-generated outputs

Subject to applicable law, third-party rights and any separate agreement, you may use the Project Brief generated for you.

AI-generated outputs may not be unique, and NeuOrigins does not guarantee that an output is protectable by copyright, patent, design rights or any other intellectual property right.

The ownership, licensing and permitted use of deliverables created by NeuOrigins after a project is approved will be governed by the applicable project agreement or statement of work.

5.4 Similar ideas and independent development

You acknowledge that NeuOrigins may independently develop, evaluate, receive or work on ideas, products, features or concepts that are similar to those submitted through NeuBuild.

To the extent permitted by law, NeuOrigins is not restricted from developing or pursuing independently conceived ideas or concepts, or from working with other parties on similar projects, merely because you submitted a similar idea through NeuBuild.

Nothing in this section grants NeuOrigins ownership of intellectual property that belongs to you, authorises misuse of your confidential information, or overrides a separate written confidentiality or intellectual property agreement.

5.5 No automatic confidentiality

Unless NeuOrigins expressly agrees otherwise in a separate written agreement, you should not assume that information submitted through the general NeuBuild idea builder or review process is subject to a separate non-disclosure agreement or a special obligation of confidentiality beyond applicable law and our published privacy commitments.

Do not submit trade secrets, patent-sensitive details, proprietary source code or other highly confidential information unless you have considered the risks and appropriate protections are in place.

If confidentiality is essential to your idea, contact NeuOrigins to discuss appropriate arrangements before submitting sensitive details.

6. Personal Data and AI Processing

NeuBuild may process prompts, conversation history, uploaded files, generated content, account information, technical logs and other information necessary to operate the service.

Depending on the features used, relevant content may be processed by third-party LLM providers, cloud hosting providers, file storage services, security services and other technical service providers.

Such processing may involve transferring information to systems located in jurisdictions other than your own, subject to applicable law and the safeguards applicable to the service.

Do not submit personal data, sensitive personal information or confidential third-party information into the AI idea builder unless it is strictly necessary, you have a lawful basis to provide it, and the relevant protections are in place.

In particular, avoid including:

• Government identification numbers, passport details or financial account information.
• Passwords, authentication tokens, API keys or security credentials.
• Medical records or sensitive health information.
• Personal contact details or identifying information about customers, employees or other individuals.
• Confidential information belonging to an employer, client or another organisation without permission.

Where possible, use fictional examples, anonymised information or general descriptions.

NeuOrigins will handle personal data in accordance with applicable data protection law and its Privacy Notice. This section does not waive any rights you may have under applicable data protection legislation.

You should review the Privacy Notice for details about the categories of data processed, the purposes and legal bases of processing, third-party recipients, retention periods, international transfers and available privacy rights.

7. Data Storage, Retention and Deletion

NeuBuild may store your ideas, conversations, Project Briefs, attachments and related records to provide the service and maintain continuity between sessions.

The availability of guest sessions, saved drafts, downloads and account-linked projects may differ. Temporary or anonymous sessions may expire, and data that has not been saved to an account may not remain available indefinitely.

We will retain information only for as long as reasonably necessary for the purposes described in our Privacy Notice, subject to applicable legal, security, operational and contractual requirements.

You should download and securely retain copies of documents you need. NeuOrigins does not guarantee permanent storage or uninterrupted availability of any particular file or AI-generated output.

Where supported and applicable, you may request deletion of your account or personal data. Certain information may need to be retained where required or permitted by law, for legitimate security purposes, or to establish, exercise or defend legal claims.

8. User Responsibilities and Prohibited Use

You agree to use NeuBuild lawfully and responsibly.

You must not:

a. Submit content that infringes another person's intellectual property, privacy or other rights.

b. Upload malware, malicious files, harmful code or content intended to compromise the platform.

c. Use the service to engage in fraud, impersonation, unlawful surveillance, harassment or other unlawful activity.

d. Attempt to gain unauthorised access to accounts, systems, data, AI services or administrative functions.

e. Interfere with the security, availability or integrity of NeuBuild.

f. Use automated methods to abuse, overload, scrape or extract information from the platform without permission.

g. Submit personal, confidential or regulated information in violation of applicable law or third-party obligations.

h. Misrepresent an AI-generated Project Brief as independently verified research, an approved project or a commitment from NeuOrigins.

You remain responsible for the content you submit and for any decisions or actions you take based on platform outputs.

NeuOrigins may restrict, suspend or terminate access where reasonably necessary to address abuse, security risks, legal obligations or material breaches of these Terms.

9. No Guarantee of Acceptance, Development or Results

NeuBuild is an ideation and project preparation platform. NeuOrigins makes no promise that:

• A submitted idea will be reviewed within a particular timeframe.
• A Project Brief will be accepted or approved.
• NeuOrigins will allocate personnel, funding or other resources to an idea.
• A project will reach prototype, MVP, launch or commercialisation.
• Any project will achieve a particular cost, timeline, performance or business outcome.
• The platform or its AI services will always be available or uninterrupted.

Any development commitment, delivery timeline, payment obligation, service level or other binding undertaking must be expressly agreed in the relevant written contract.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, NeuBuild and its AI-generated outputs are provided on an “as is” and “as available” basis.

NeuOrigins disclaims warranties and representations that may lawfully be excluded, including implied warranties of uninterrupted availability, fitness for a particular purpose, accuracy or suitability of AI-generated outputs.

To the maximum extent permitted by law, NeuOrigins shall not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, data or business interruption arising from or connected with the use of NeuBuild, reliance on AI-generated content, submission or rejection of an idea, or inability to use the platform.

To the maximum extent permitted by law, NeuOrigins shall not be responsible for loss or damage arising from decisions made in reliance on unverified AI outputs, interruptions or failures of third-party AI or hosting services, unauthorised access resulting from circumstances beyond its reasonable control, or loss of content that you have not retained independently.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any applicable mandatory consumer rights, liability for fraud or fraudulent misrepresentation, or other non-excludable liability under applicable law.

Where you use NeuBuild as a consumer, nothing in these Terms is intended to remove statutory rights that cannot legally be waived.

Any additional liability limits applicable to a paid development engagement must be expressly set out in the relevant project agreement.

11. Third-Party Services

NeuBuild may rely on third-party services for AI processing, authentication, hosting, storage, analytics, communications and other functionality.

Those services may be governed by separate terms and privacy policies. NeuOrigins does not control every aspect of third-party services and, to the extent permitted by law, is not responsible for their independent acts or omissions.

The use of third-party services does not remove NeuOrigins' own obligations under applicable law.

12. Platform Availability, Changes and Suspension

NeuOrigins may modify, add, suspend or discontinue platform features, AI models, integrations, workflows or other functionality as the service evolves.

We may temporarily suspend access for maintenance, security incidents, abuse prevention, technical failures or other legitimate operational reasons.

Where reasonably practicable, we will take appropriate steps to minimise disruption. However, uninterrupted or error-free availability is not guaranteed.

13. Changes to These Terms

NeuBuild is an evolving platform. These Terms represent the terms applicable to the version identified above and may be revised, expanded, corrected or replaced as the platform develops, legal requirements change or new features are introduced.

NeuOrigins may update these Terms from time to time. The latest version and its effective date will be published on the platform.

Where required by applicable law, we will provide notice of material changes and obtain any necessary consent. Continued use after updated Terms become effective will constitute acceptance only to the extent recognised by applicable law.

If you do not agree to a material update, you should discontinue use of the affected services.

These Terms are not intended to be an exhaustive statement of every policy, obligation or legal right applicable to NeuBuild. They should be read together with the Privacy Notice and any additional terms or agreements applicable to specific services.

14. Privacy Notice and Other Agreements

Your use of NeuBuild is also subject to the applicable Privacy Notice, which explains how personal data is handled.

If NeuOrigins and a user enter into a separate signed agreement, including a development agreement, statement of work, confidentiality agreement or intellectual property agreement, that agreement will govern the matters it expressly addresses. In the event of a conflict, the separate agreement will prevail for those matters to the extent legally permitted.

15. Governing Law and Disputes

These Terms shall be governed by the laws of India, subject to applicable conflict-of-law rules and mandatory legal protections.

Any dispute arising from these Terms shall be addressed first through good-faith discussions where practicable. Where a dispute cannot be resolved informally, it shall be referred to the competent courts having jurisdiction over the registered office of NeuOrigins Mediatek Private Limited, subject to applicable law and any mandatory jurisdictional protections.

Nothing in this section limits a user's right to bring a claim before a court, tribunal or authority where such a right is protected by applicable law.

16. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue to apply to the extent legally permissible.

A failure or delay in enforcing a provision does not constitute a waiver of that provision.

You may not transfer your rights or obligations under these Terms in a manner that violates applicable law. NeuOrigins may transfer or reorganise its rights and obligations as part of a lawful corporate restructuring, business transfer or similar transaction, subject to applicable law.

These Terms, together with the applicable Privacy Notice and any relevant separate agreement, constitute the terms governing your use of NeuBuild for the matters they address.
